Terms of Service

These Terms apply to every Eucalyptus workspace. Processing of personal data within Customer Content is governed by the Data Processing Addendum, which forms part of these Terms.

Who we are

Eucalyptus is operated by X-QDO OÜ, a company registered in Tallinn, Estonia ("X-QDO", "we", "us"). These Terms of Service ("Terms") govern access to and use of the Eucalyptus platform, APIs, dashboard, and related services (the "Service").

By creating a workspace, accessing the Service, or clicking to accept these Terms, you agree to them on behalf of yourself and, where applicable, the organisation you represent ("Customer", "you"). If you do not agree, do not use the Service.

The Service

Eucalyptus compiles Excel-based pricing and calculation workbooks (.xlsx, .xlsb) into governed, versioned production services exposed over an API. The Service includes workbook upload and validation, compilation, version management, regression testing, API execution, telemetry, usage allocation and export, and administrative controls.

We may improve or modify the Service over time. We will not materially reduce the core functionality of a paid plan during a paid term without notice.

Accounts and workspaces

You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your workspace, including activity by users you invite, tokens you issue, and agents you authorise through the MCP interface.

You must be at least 18 years old and use the Service only for business purposes.

Your content

You retain all rights to workbooks, models, inputs, outputs, and other material you submit to the Service ("Customer Content"). You grant X-QDO a limited licence to host, process, compile, execute, and display Customer Content solely to provide and support the Service.

You are responsible for ensuring that Customer Content and your use of the Service comply with applicable law and do not infringe third-party rights. Where Customer Content includes personal data, the Data Processing Addendum applies.

Acceptable use

You may not: (a) attempt to gain unauthorised access to the Service or its infrastructure; (b) interfere with or disrupt the integrity or performance of the Service; (c) use the Service to build a directly competing product; (d) resell or provide the Service to third parties except to serve your own customers through your applications; (e) upload malicious content or use the Service for unlawful activity; or (f) circumvent usage measurement, rate limits, or plan restrictions.

Plans, fees, and overage

Plan allowances, fees, and support levels are set out in your plan description or order form, which forms part of these Terms. The free pilot plan is provided without charge and without an availability commitment.

Paid plans are billed in advance for the agreed billing period. Calls beyond an included allowance are served and invoiced at the overage rate stated in your order form; you may configure a hard usage cap in the dashboard. Fees are exclusive of taxes, which you are responsible for. Except as required by law or expressly stated, fees are non-refundable.

A "call" is one successful execution against a compiled model. Validation failures, rejected requests, and internal health checks are not counted.

Availability and support

We operate the Service with commercially reasonable skill and care. Support response targets are set out in your plan or order form. Scheduled maintenance and factors outside our reasonable control may affect availability.

Enterprise customers may agree to additional service levels and a private execution destination in a separate order form.

Security and confidentiality

We maintain technical and organisational measures appropriate to the Service, including encryption in transit and at rest, scoped API tokens, content-addressed signed bytecode, and audit logging. Security documentation and penetration-test reports are available under NDA.

Each party will protect the other party’s confidential information with at least the same care it uses for its own, and use it only to perform under these Terms.

Intellectual property

X-QDO and its licensors own the Service, including all software, compiled runtime, interfaces, and documentation of the platform, excluding Customer Content. Feedback you provide may be used to improve the Service without obligation.

Suspension and termination

We may suspend access where reasonably necessary to protect the Service, other customers, or to comply with law, and will notify you where practicable. Either party may terminate for material breach not cured within 30 days of notice. You may stop using the Service and delete your workspace at any time.

Upon termination, your right to use the Service ceases. We will make Customer Content available for export for 30 days after termination, after which it is deleted in accordance with the Data Processing Addendum.

Disclaimers

The Service executes the workbooks you provide. You are responsible for the correctness of your models, for validating outputs — including through the regression-testing features provided — and for decisions made based on those outputs.

Except as expressly stated, the Service is provided "as is" and X-QDO disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data. Each party’s aggregate liability under these Terms is limited to the fees paid or payable by Customer in the 12 months preceding the event giving rise to liability. Nothing in these Terms limits liability for wilful misconduct, gross negligence, or amounts that cannot be limited under applicable law.

Changes to these Terms

We may update these Terms from time to time. For material changes we will give at least 30 days’ notice by email or in the dashboard. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to a material change, you may terminate before it takes effect.

Governing law and venue

These Terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.
